Acceptance of Terms

Welcome to BIM Engine ("we," "us," or "our"). By creating an account, accessing, or using our web platform, desktop applications, or API (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity (such as an architecture firm or construction company), you represent that you have the authority to bind such entity to these Terms. If you do not agree to all of these Terms, do not use the Service.

Account Registration and Security

BIM Engine provides AI-powered software solutions for the Architecture, Engineering, and Construction (AEC) industry. Our core services include:

• Inspection Engine: A tool for automating site inspection reports using photo recognition and AI annotation.

• Reconstruction Engine: A cloud-based service for converting point cloud data into BIM models or 3D meshes.

• Material Engine: A platform connecting architects, contractors, and suppliers for material procurement and specification.

Note: We may update, suspend, or discontinue certain features of the Service at any time without prior notice.

Intellectual Property and Data Ownership

Your Data (User Content): You retain full ownership of all files, data, photos, point clouds, and architectural models ("User Content") you upload to the Service. We do not claim ownership of your intellectual property.

License to Process: By uploading User Content, you grant BIM Engine a worldwide, non-exclusive, royalty-free license to host, copy, process, and modify (e.g., convert file formats) your User Content solely for the purpose of providing the Service to you.

Our IP: All rights, title, and interest in the Service (including our codebase, AI algorithms, interface designs, and documentation) are and will remain the exclusive property of BIM Engine.

AI and Accuracy Disclaimers

CRITICAL NOTICE REGARDING ARTIFICIAL INTELLIGENCE:

No Professional Advice: The Service uses Artificial Intelligence (AI) and Large Language Models (LLM) to generate reports, identify defects, and reconstruct 3D models. These outputs are probabilistic and may contain errors, hallucinations, or inaccuracies.

Human Verification Required: You acknowledge that the Service is a support tool and does not replace the professional judgment of a licensed architect, engineer, or surveyor. You agree to verify all AI-generated outputs (including measurements, material specs, and defect flags) before relying on them for construction, structural analysis, or procurement.

Reconstruction Tolerances: We do not guarantee that 3D models generated by the Reconstruction Engine will be perfectly geometrically accurate to the original point cloud. Tolerances may vary based on input quality.

Billing and Credits ("Engines")

Quota System: Certain features of the Service are accessed by purchasing usage quotas (referred to as "Engines").
Non-Expiring Quota: Unless otherwise stated at the time of purchase, purchased "Engine" quotas do not expire and will remain in your account as long as the account is active.

No Refunds: All purchases of quotas or subscriptions are final. We do not provide refunds or credits for partially used or unused quotas, except as required by applicable law.

Prohibited Use

You agree not to:

• Use the Service to inspect or reconstruct sensitive government or military facilities without authorization.

• Reverse engineer, decompile, or attempt to extract the source code of the Service.

• Use the Material Engine to spam suppliers or solicit business off-platform in violation of fair use.

• Upload viruses, malware, or any content that infringes on the intellectual property rights of others.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

"AS IS" SERVICE: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

NO CONSEQUENTIAL DAMAGES: BIM ENGINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, OR THE COST OF SUBSTITUTE SERVICES.

LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

We may suspend or terminate your access to the Service immediately if you violate these Terms. Upon termination, your right to use the Service will cease immediately, and we may delete your User Content after a reasonable grace period.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States (State of Delaware), without regard to its conflict of law provisions.
